1. Acceptance of Terms

By accessing or using the StagingOS platform ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you may not use the Service. These Terms constitute a legally binding agreement between you and StagingOS Inc. ("StagingOS," "we," "our").

2. Description of Service

StagingOS provides an AI-powered property listing marketing platform that transforms raw real estate photos into virtually staged images, cinematic video reels, and SEO-optimized listing copy. The Service is designed for real estate agents and property professionals.

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when creating an account.

4. Pricing & Payments

The Service is priced on a per-listing basis at the current published rate.
All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service.
Prices are in USD and are subject to change with reasonable notice.
All sales are final. Refunds may be issued at our sole discretion if the Service fails to deliver the ordered outputs.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws.
Upload content that you do not own or have rights to use.
Attempt to reverse-engineer, decompile, or extract the AI models or algorithms used by the Service.
Use the Service to generate misleading representations of properties (e.g., adding structural modifications that do not exist).
Resell, redistribute, or sublicense the Service without written permission.

6. Intellectual Property

Your Content: You retain ownership of the photos and materials you upload. By uploading content, you grant StagingOS a limited, non-exclusive license to process and transform it solely for the purpose of delivering the Service.

Generated Outputs: Upon successful payment, you receive a perpetual, non-exclusive license to use the AI-generated staged images, videos, and copy for your property marketing purposes.

Our Platform: The Service, including its design, features, AI models, and underlying technology, remains the exclusive property of StagingOS Inc.

7. Virtual Staging Compliance

StagingOS adheres to virtual staging guidelines in the US, EU, and UK markets. Our AI does not make structural changes to properties. Generated images are intended to help buyers visualize furnished spaces. You are responsible for disclosing that listing images are virtually staged, in accordance with your local regulations and MLS rules.

8. Limitation of Liability

To the maximum extent permitted by law, StagingOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid for the specific order giving rise to the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that AI-generated outputs will meet your specific expectations in every case.

10. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the courts of Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
